PRIVACY NOTICE

ONLINE PRIVACY USE OF YOUR PERSONAL INFORMATION. This Privacy Notice describes how information collected via the Luminary Vitamins, Inc. (“Luminary Vitamins”) website (“Site”) mobile application (“Application”) and online services (“Services”) is used, shared and stored.

INFORMATION ON THE PATIENT PORTAL. Information is obtained by Luminary Vitamins in a variety of ways, including, for example, when you contact the Site, sign an agreement, or purchase products online. You may be asked to provide personal information such as, name, address, telephone number, email address, credit or debit card information, bank account information, etc. to use the Services for various transactions.

CHILDREN UNDER AGE 18. Children under the age of 18 are not permitted to use the Services and should not attempt to register or provide any personal information to the Site.

STATISTICS. Luminary Vitamins may automatically gather general statistical information about use of the Services and users, such as IP addresses, browsers, pages viewed, number of visitors, browser type, computer or device type, the website from where you navigated to the Site, and the pages on the Site that you view, goods and services purchased/used, etc., but in doing so Luminary Vitamins does not reference you by individual name, e-mail address, home address, or telephone number. We use this data in the aggregate to determine how much our users utilize parts of the Site so we can improve. We may provide this statistical information to third parties, but if and when we would do so we will not provide any personally identifying information without your prior permission. We do not sell or rent or share personally identifying information collected during your use of our Site or Services other than in connection with our conduct of the business of the Services. 

COOKIES. When you visit the Site, we send one or more “cookies” to your computer or other device. A cookie is a small file containing a string of characters that is sent to your computer when you visit a website. When you visit the Sire again, the cookie allows the website to recognize your browser. Cookies may store unique identifiers, user preferences and other information. Generally, we use cookies to: (i) remind us who you are and enable us to access your account information so you do not have to reenter it; (ii) gather statistical information about usage by registered or unregistered users and (iii) research visiting patterns. In addition, we may use cookies to: (i) help target advertisements based on user interests; (ii) assist our affiliates to track visits and process payments and inquiries; and (iii) track progress and participation in the Sire activities. You can reset your browser to refuse all cookies or to indicate when a cookie is being sent. However, some website features or services may not function properly without cookies.

YOUR PERSONAL INFORMATION. You can access and update certain information we have relating to your online account by using the features on the Site. We use your personal information to process credit card transactions, and to provide information to payers and other third parties that help us provide Services and Site content to you. For example, we may use third parties to help host and maintain the Sire, and to process payments.

SHARING YOUR PERSONAL INFORMATION. We also will share personal information with third party companies, organizations or individuals outside of Luminary Vitamins if we have a good-faith belief that access, use, preservation or disclosure of the information is reasonably necessary to:

  • Comply with applicable law, regulation, subpoena, legal process or enforceable governmental request.

  • Enforce applicable Terms of Use, including investigation of potential violations.

  • Detect, prevent, or otherwise address fraud, security or technical issues.

  • Protect against harm to the rights, property or safety of the Patient Portal, our users, patients or the public as required or permitted by law.

TRANSFER IN THE EVENT OF SALE OR CHANGE OF CONTROL. If the ownership of all or substantially all of our business changes or we otherwise transfer assets relating to Luminary Vitamin’s business to a third party, such as by merger, acquisition, bankruptcy proceeding or otherwise, we may choose to transfer or sell your personal information. In such a case, unless permitted otherwise by applicable law, your information would remain subject to the promises made in this privacy statement unless you agree differently.

SECURITY OF YOUR INFORMATION. Luminary Vitamins maintains a high level of security, particularly in relation to transmitting and storing of data.  Data is encrypted while in transit between you and the Site, and is also encrypted while at rest within the Site.  It is your responsibility to protect the security of your personal computer, network, and password. As a user of the Luminary Vitamins Services and Site you hereby agree that you are solely liable for viruses, worms, Trojan horses, malware, bots, and other electronic mechanisms designed to destroy or impair the functioning of computer systems and residing on your personal computer and/or mobile device. You access and use the Site at your own risk. There is no guarantee that information may not be accessed, disclosed, altered, or destroyed by breach of any physical, technical, or administrative safeguards. Our personnel will never ask you for your password in an unsolicited phone call or in an unsolicited email. Remember to sign out of your account and close your browser window when you have finished your session. This action will help ensure that others cannot access your personal information and account information if you share a computer with someone else or are using a computer in a public place where others may have access to it.


General Terms

CHANGES TO TERMS OF USE / ONLINE PRIVACY. Luminary Vitamins reserves the right, in its sole discretion, at any time, to modify, alter, or update the terms and conditions of these Terms of Use / Online Privacy with or without notice. Modifications shall become effective immediately upon being posted on the Site. You should, therefore, periodically visit this page to review the current Terms of Use, so you are aware of any such revisions to which you are bound. Certain provisions of these Terms of Use may be superseded by expressly designated legal notices or terms located on particular pages within the Site. Your continued use of the Services and Site after modifications are posted constitutes an acknowledgement and acceptance of the Terms of Use and modifications.

In the event that any of the Terms of Use are held by a court or other tribunal of competent jurisdiction to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that these Terms of Use shall otherwise remain in full force and effect.

JURISDICTION & DISPUTE RESOLUTION. This agreement will be governed by, and construed in accordance with, the laws of the state of Delaware, notwithstanding the conflict of laws doctrine of that or any other jurisdiction. Any dispute, controversy of claim arising out of or relating to this agreement shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, and judgment on the aware rendered by the arbitrator(s) may be entered in any court of competent jurisdiction. The arbitration shall be held in Newark, Delaware unless the parties mutually agree on a different location. If the losing party does not abide by the decision and award within thirty (30) days, then the prevailing party may file a suit in a court of competent jurisdiction to enforce the arbitrator’s decision and award.

Notwithstanding any statute or law to the contrary, any claim or cause of action arising out of or related to these Terms or your use of the Service must be filed within one (1) year after such claim or cause of action arose, otherwise that claim or cause of action will be barred forever.

APPLE HEALTH. Luminary Vitamins will not exchange any personal information with Apple's Health application without your prior approval. Approval is given by you in the relevant settings of the Health application or within the Application during initial user profile setup or via Application settings and can be revoked by you at any time. If you have given your approval, Luminary Vitamins may interact with the Health application on your iOS device and read and/or write information between the Application and Health application. You can choose if and to what extent Personal Information is exchanged between Luminary Vitamins and Health application by granting or revoking the relevant permissions in Health app settings. Please refer to Apple Health’s privacy notice for further information.

LINKS TO OTHER WEBSITES. The Website and/or Application may contain links to other websites of interest. However, once you have used these links to leave the Website and/or Application, we do not have any control over third party websites. Luminary Vitamins is not responsible for the protection and privacy of any information which you provide when visiting such sites and external sites are not governed by the within Privacy Policy. You should exercise caution and review the privacy policy applicable to any website in question.

ENTIRE AGREEMENT. The Terms are the final, complete and exclusive agreement of the parties with respect to the subject matter hereof and supersedes and merges all prior discussions between the parties with respect to such subject matter.

NO ASSIGNMENT. You shall not assign, subcontract, delegate, or otherwise transfer this agreement, or its rights and obligations herein, without obtaining the prior written consent of Luminary Vitamins, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void. The terms of this agreement shall be binding upon the parties and their respective successors and permitted assigns. 

ELECTRONIC COMMUNICATIONS. The communications between you and Luminary Vitamins use electronic means, whether you use the Website, the Application, or send us emails, or whether Luminary Vitamins posts notices on the Website, the Application, or communicates with you via email. For contractual purposes, you (a) consent to receive communications from Luminary Vitamins in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Luminary Vitamins provides to you electronically satisfy any legal requirement that such communications would satisfy if it were in sent via hardcopy. The foregoing does not affect your non-waivable rights.
